Which Chinese Company Document Does the Overseas Recipient Actually Need?
Start with the corporate fact the recipient wants proved: registration, company particulars, signing authority, transaction approval or representative authority. Obtain its written instructions and identify the accepted record. A Business Licence, resolution and Power of Attorney serve different purposes. Begin preparation only after the required fact and form are clear.
Company Documents Do Not All Have the Same Apostille Status
A document title alone does not determine Apostille eligibility. The Hague Apostille Convention covers public documents including notarial acts and official certificates on private documents. The HCCH Apostille Handbook explains that public status is determined under the law of the place of origin; a private company record does not become public merely because it concerns business.

The Convention also excludes certain administrative documents dealing directly with commercial or customs operations. The HCCH Explanatory Report treats that exclusion narrowly; it should not be read as excluding all commercial or company documents.
Common Chinese Company Documents and Their Possible Forms
Business Licence
A Chinese Business Licence may be capable of entering an Apostille route in an eligible official or appropriately prepared form. That could involve the original, an official registry record, a certified or notarized copy, or a notarial certificate. The authority and overseas recipient should confirm the form.
SAMR guidance gives electronic and paper Business Licences equivalent domestic legal effect. It does not establish identical Apostille handling. A screenshot, printout or photocopy is not automatically an official original.
Company Registry and Registration Records
Public company information is not necessarily an official registry extract. Forms include official or certified records, online information, screenshots, printouts and notarized evidence. Identify the issuer, certification and date, then confirm what the recipient accepts.
Articles of Association
“Articles of Association” describes content, not one document status. The item may be company-held, filed, authority-issued, officially certified or notarized. Articles are not automatically public and do not always require notarization.
Board and Shareholder Resolutions
A resolution is generally a private corporate act. A competent body may first certify a signature, seal, copy or fact, after which an Apostille may authenticate the resulting public act. A company chop or representative's signature does not automatically make it public.
Company Power of Attorney
A corporate POA review may involve company identity, signer, authority, signature or chop and powers granted. A notarial or official act may be needed. Commercial Contracts and Authorization Letters
A commercial contract is generally private. An official act concerning its copy, signature, seal or date may be needed before Apostille. Signing or stamping a contract does not make it directly Apostillable, and Apostille does not validate it.
When Might Notarization or an Official Certification Be Needed First?
The PRC Notarization Law allows notaries to handle matters including contracts, entrustments, Articles of Association, signatures, seals, dates and copy-original conformity. That means notarization may be available for relevant company-document issues; it does not mean notarization is required before every Apostille. Review the difference between Apostille and notarization before selecting a sequence.
An Apostille authenticates formal origin elements identified in the certificate, such as the signature, capacity or seal of the public official or notary. It does not independently establish the validity of a private company chop, the signer's corporate authority or the legality of the transaction.

What an Apostille Proves—and Does Not Prove—About a Company Document
China's official Apostille guidance explains that an Apostille authenticates specified formal origin elements rather than the underlying content. It does not establish good standing, representative or shareholder authority, resolution or contract validity, or the truth of every statement. Those issues remain with the issuer, applicable law and recipient.
Does the Company Document Need Translation?
No universal translation rule applies. The destination, recipient, filing language and document form may determine whether a certified translation is accepted or must form part of a notarial package. Translation is not automatically required before or after Apostille, and not every translation requires notarization.
Why the Overseas Receiving Organization Must Be Checked First
The recipient may specify the fact, document, version, recency, translation and signatory evidence. An Apostille does not select the correct corporate record.
